| Chrysler Sale Cleared By SCOTUSSupreme Court lifts stay and clears the way for Chrysler sale. Ending four days of intense, round-the-clock and high-stakes legal maneuvering in the Supreme Court, the Justices on Tuesday evening removed a legal obstacle to sale of the troubled auto industry giant, Chrysler. Insisting that it was denying a postponement “in this case alone,” the two-page order said the challengers had not met their burden of showing that a delay was justified. The order allows a closing of the deal as of next Monday, because it lifts a temporary stay that Justice Ruth Bader Ginsburg had issued on Monday, apparently to give the Court time to ponder the issue.SCOTUS blog has more at the link. Crap! I was going to predict this outcome on my blog, in writing adn everything, and I would have looked so cool when I was right. For once. I was talking about this with my brother at lunch. His theory is that they would shoot the deal down because it is such a heinous power grab and SCOTUS would want to defend its territory against an over-reacing executive. My argument was that Obama's appointment of Sotomayor proved that he wanted and relied on an activist court, and that this case was a chance for the True Believers on the court to help him scuttle private industry and property rights. Blame the majority of the secured bondholders that signed off on the agreement whether coerced or not. I don't think there was anything SCOTUS could really do other than to refuse to get involved. What were the constitutional or other issues that would let them intervene? If it had been a straightforward liquidation and the secured debtholders were shafted, it might be a different story. Instead it was a reorganization with a sale. If Congress wanted to complain about TARP funds being used for the takeover or government ownership in the first place, they should have complained and removed the funding for it. I don't think the Constitution prohibits government ownership of assets. The whole thing stinks like a rotting fish but this is now squarely on Obama and the Democrats. There is little chance in my humble opinion that Government Chrysler can survive so it'll probably be a colossal failure and take Fiat down with it . Most of us will avoid both Government Motors and Government Chrysler/Fiat like the plague.

#15 Laddy, my understanding is the 5th amendment (the one dealing with government takings without due process, anyway) was undermined, since due process involves bond holders getting first crack at looting the corpse to get their money back. In this case, the UAW is getting their money before bond holders, based on executive fiat (as opposed to Fiat executives).

CautiouslyPessimistic, if it was a liquidation, that would be the case. In this case, it's a reorganization which is more like getting all parties to sign a contract. Once the majority of the secured debtholders signed off on the reorg, the others were more or less out of luck. There are several different chapters in the Bankruptcy Code. Liquidation is only one of the possibilities.

I've talked about this before and have been ignored most often,maybe now some more people will start to pay attention. If we want tostop this we have to crash this economy starting now. Everyone needs to cut way backon their spending.Everyone needs to switch to cash, build up a supply of foriegn currency (our money is going to crash soon). Buy onlywhat you need,stop going out to eat (invite friends over it is more fun and cheaper), stop going out to the movies (why give the lefties money), stop doing business with business owners who have supported Democrats and let them know why (this works very well in an economic down turn). Next wemust alsotake every chance to say negative things about Obama and blame him for everything. Do not be nasty or use foul language,even try and be funny and chuckle in a sad way about it. Always give the impression that you voted forhim and are disappointed about how things are going. When talking about Obama always leave the others in the group the out that Obama and the Dems have lied to them. People don't like to admit that they made a mistake, but they will accept that they were lied to.

This does not bode well for the future of American business, regardless of the wishy-washy bullshit of "in this case alone." The precedent has now been set that the POTUS and his minions may pay off union corkholsters at the expense of parties who *used* to have a legal claim to the proceeds of a "deal."

@laddy: I didn't read down far enough, I suppose. You correctly observe that the Chrysler deal isn't a liquidation, but I'm not so certain that the distinction is necessary. The value of the secured bonds was negated by the actions of the government, without agreement from *some* bondholders. I find it difficult to believe that contract law is guided by a majority or plurality option. Besides, the unsecured debt holders would still be subordinate to *ANY* secured holders, regardless of any concessions made by the bigger secured parties.

skh.pcola, if the senior secured debtholders thought they could get more from liquidation, they should not have signed off on the reorg, either trying to get more or, not getting that, forcing liquidation of assets. Either they were coerced into signing off or thought they'd get more out of it through the reorg and equity return. I know the minority that didn't sign off on the agreement feel shafted, but that's usually the case in reorgs. I think the reason most of the secured debtholders didn't want liquidation is that the value of the assets is fairly low unless you actually produce vehicles. I think funds will be much more careful in buying any secured corporate debt in the future. I think it is a given that private funding will be very difficult for the Government Car Companies to obtain, short of coercion which I see as a distinct possibility from the current Administration. What I will never understand is why retirement funds were buying secured debt at 41 cents on the dollar in the first place. That's assuming a huge risk just on the face of it.

The Supreme Court ruled only on the ability to delay the sale, saying that it was not a ruling on the merits of the various cases (consumers, bond-holders, and someone else).

And a lot more people claim that it was the FDIC's seizure of a not-all-that-dire WaMu which created a panic which led to the run on Wachovia. (Fact: Wachovia, which the FDIC then tried to firesale auction off to Citigroup for a literal fraction of the price Wells Fargo was willing to pay, had already offered, and ended up paying. I believe like 1/12th.) Meanwhile, many many people are saying the siezure of WaMu and Wachovia directly created the "credit crisis" which neccessitated the TARP, because banks stopped lending and began hoarding cash to improve liquidity out of fear of overzealous government siezure. (Fact: The TARP - and it's accrued interest - that was then FORCED on banks whether they needed it or not in order to obscure which ones really needed it, and the TARP that Obama is now using to exhert government control over the financial sector). So, that would mean... the whole damn financial crisis and economic disaster was started by FDIC Chairman Sheila Blair, basically. I'm fairly fucking confident on that particular part, actually. Goverment totally did this, and I'm not talking about the Community Reinvestment Act (the implosion of which did put the banks into a bit of financial pain and cause the housing bubble and subsequent collapse). A subject anyone who bought into the panic over the 'credit crisis' would do well to study. And this may be projections of nefarious motives to explain what is otherwise inexplicable, incomprehensible incompitence, but there's some claims that she was in less then exactly legit discussions with the Jamie Dimon, CEO and Chairman of JP Morgan Chase (who bought WaMu), and that JPM may have been involved in undermining WaMu by downplaying their liquidity it in what amounts to a planned hostile takeover with Federal help. I also know that, fact, currently in dispute in WaMu's bankruptcy hearings, JPM contends that 4 billion dollars on deposit in WaMu by the bank's holding company, Washington Mutual Inc., were part of the purchase agreement and assets sold to JP Morgan by the FDIC. JP Morgan bought WaMu for about 1.9 billion dollars. They're saying that with that 1.9 billion dollars, they purchased the 4 billion dollars cash deposit in the bank (along with 200 billion in customer deposits, the trademark, the bank locations, the ATM's, the credit companies and assorted other assets and debts). They bought 4 billion with 2 billion from the FDIC. Sort if like if I sold you 4 one-dollar bills (and my house) for 8 shiney quarters. 8 quarters I didn't recieve, because the feds were holding it to pay off my creditors after you told them I was insolvent, despite my protest, despite $4 in cash and a free-and-clear house, and despite the fact that I was at the time in negotiations to sell my home for $60, before I was forced to take the $2 deal. How's that for your 5th ammendment? If true? That's flat out scarey shit. And this happened under a Republican president. Like 'socio-political thriller' novel shit. Probably too late to make a difference, but apparently the Justice Department settled an "oil for food" corruption case against Fiat just days before the Chrysler deal was initially announced. This was right before X-mas and received virtually no media coverage.
It sure seems like there was political influence involved to clear the decks for the Chrysler deal. And significantly, it's a DEFERRED prosecution agreement which gives the US Gov ongoing leverage against Fiat. Those funds were buying risky debt for 41% of par for the same reason all of those rubes got burned by Madoff...they thought that somebody behind the curtain would sprinkle magic dust on the notes and the returns would kick ass. No matter that reality and past experience would suggest otherwise, that's immaterial when people take a crap shoot.

We know reasonably healthy banks were forced to take TARP money whether they wanted it or not. We'll likely never know the truth if we even survive all this.

We know reasonably healthy banks were forced to take TARP money whether they wanted it or not. Yes, we all know that. But not all of us know it in that (possible) context I've outlied. And we all know about the CRI, which is insidious and played it's own part, but I think early on we actually blaimed it too much for what happened. Not because it did not deserve the blaim, but merely because it didn't happen to actually do it this time. The scenario I've outlied implies that the entire financial crisis was not just the governments fault but in fact, completely made up in oedipal fashion. Again, a point worth making to the many many conservatives that believed Bush and Bernake when they said we had a credit crisis that required immediate intervention. A real credit crisis which was created entirely out of fear of what actions they might take in order to avert another "credit crisis" that existed only in their imaginations. But more importantly, if true, the planned and intended sabotage of WaMu by JPMorgan with the aid (willful or otherwise) of the FDIC is something mindblowingly awful all on it's own. Especially so if it was in fact prompted by some corruption within the FDIC and favoritism toward JP Morgan Chase & Co. I've no doubt that some favoritism toward JPM occured, it's simply a question of degree, and how blatant (versus rationalized) it was. Any pretense of a free market, liberty, or capitalism is shredded. It is called oligarchy and indistinguishable from Putin's Russia. Government Motors can't survive with that kind of crash in its market share, considering that it wasn't going to make all that many anyway. Many moons ago as a young petty officer stationed in Italy I had a small orange Fiat of some unknown variety. It had been passed down by many before me and could run just enough. The doors were practically falling off, none of the gauges worked, and the gears would slip at very inopportune times. Finally one night after a jug of vino with my friends piled into this clown car it died in a puff of smoke. I left it on the side of the autostrada and we walked home never to see this piece of crap car again. How appropriate to what is happening to the U.S. car industry now.

They flat out tell you not to put ethanol into the gas tank. It destroys the seals on the engines (as it does to many older cars and marine engines). 10% ethanol is currently mandated by many states, being mandated by others, and in some places the fucking cornhusker's lobbies are pushing for an increase to 15-20% ethanol. Besides alchohol degrading some types of felts and rubbers used in gaskets, the problem (especially with Briggs and Stratton) is that alchohol absorbs moisture (which causes rust). And what's more, when left to sit for long periods of time (ala lawnmowers and weed wackers and most Briggs engines) after absorbing water the ethanol causes seperation in the gas which leads to the formation of acids which destroy fuel lines. Which is why B&S tells you to store the motor dry and with half a tank of gas in it. Backup and emergency generators are another quandry. As we speak ethanol is destroying engines all over America and as the mandated ethanol content spreads and increases it'll only get worse. As it turns out, even brand new E-85 flex fuel cars, which were designed to run on a high ethanol-gas blend, are often damaged by pure ethanol which is increasingly being found coming out of the pumps marked E-85. Jones- I totally agree. The media is even more guilty IMHO. It is their duty to report the news - all of it. They have power because people trust them. People never trust the President, they should be able to, but they understand sometimes he has to fudge the truth. Reporters on the other hand must tell the entire truth. They do news stories and commentaries all the time about how the GOP is keeping minorities down. I think that the media is mainly responsible. A lot of poor minorities do not get on the net, read anything but their local paper, and trust the main 3 (cuz they're free) to give them the truth. They don't even know that their opinions, based on the 'news' stories, are based on nothing but half truths and down right lies and slander. They don't know there is bias in the media because they have never been shown the other side. Think about it, if they knew that raising the minimum wage was actually going to cost their children jobs, would they support it? What about the truth behind ACORN? What about school vouchures, teacher's unions, etc. Large blocks of minorities would vote differently (eventually) if the new the entire 'news'/truth. Sometimes I wish there was a PAC that was willing to hold meetings, talks, etc., to educate people about the bias. When we get rid of our 2000 Grand Caravan (bought used at a Toyota dealer) we will get a Highlander and so have 2 Toyotas again (the other one is a 2000 Camry with 217,000 miles on it).
